Client Work: Unless otherwise specified in a separate written agreement, intellectual property rights to custom-developed software, applications, or deliverables created specifically for a client will be transferred to the client upon full payment. FBM retains the right to use general methodologies, frameworks, and non-proprietary components.

You may not reproduce, distribute, modify, create derivative works of, publicly display, or otherwise use our proprietary materials without our prior written consent.

5. Project Terms and Payment

Project Agreements: Specific project terms, deliverables, timelines, and payment schedules will be outlined in separate project agreements or statements of work (SOW). These agreements take precedence over these general Terms for the specific project.

Payment Terms: Unless otherwise specified:

  • Payment terms will be specified in project agreements
  • Invoices are due within the timeframe specified in the project agreement
  • Late payments may incur interest charges as specified in the project agreement
  • We reserve the right to suspend services for overdue accounts
  • All fees are non-refundable unless otherwise specified in writing

6. Warranties and Disclaimers

Service Warranties: We strive to provide high-quality services and will work diligently to meet project specifications. However, we make the following disclaimers:

  • Our Services are provided "as is" and "as available" without warranties of any kind, either express or implied
  • We do not guarantee that our Services will be uninterrupted, error-free, or completely secure
  • We do not warrant that the results obtained from using our Services will meet your requirements
  • We are not responsible for third-party services, software, or platforms that may be integrated with our Services
  • Any warranties provided will be explicitly stated in project agreements

7. Limitation of Liability

To the maximum extent permitted by law:

  • Our total liability for any claims arising from or related to our Services shall not exceed the total amount paid by you to us in the twelve (12) months preceding the claim

10.1 Meta (Facebook) and Analytics

Your use of our website constitutes consent to such processing. Meta’s and Google’s respective terms and privacy policies apply to their handling of your data.

10.2 WhatsApp Business API

We use the WhatsApp Business API to communicate with you (e.g., booking confirmations, support, and inquiries). When you provide your phone number or contact us via WhatsApp, you agree that we may use WhatsApp to send you service-related messages. Use of WhatsApp is subject to WhatsApp’s terms of service and privacy policy. We are not responsible for WhatsApp’s availability, security, or data practices.

11. Termination

Termination by You: You may stop using our Services at any time. However, you remain responsible for any outstanding payments and obligations under project agreements.

Termination by Us: We may suspend or terminate your access to our Services if:

  • You engage in fraudulent, illegal, or harmful activities
  • We decide to discontinue the Services (with reasonable notice when possible)

Upon termination, your right to use the Services will immediately cease, and we may delete your account and data in accordance with our data retention policies.

12. Indemnification

You agree to indemnify, defend, and hold harmless FBM (Fymkan Business Machines), its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

14. Modifications to Terms
